PAC Agent is free. Your shop may install it on its own PCs.
It installs and updates PAC libraries you bought, inside your Mozaik folders. It makes a backup first and offers Undo, but keep your own backups and check every updated product in Mozaik before you cut parts.
It updates itself automatically with versions signed by PAC.
It sends PAC's server a little information (your sign-in email, your PC's name, versions, problem reports). The Privacy Notice says exactly what.
It comes "as is". If something goes wrong, PAC's responsibility is limited to the greater of $100 or what you paid PAC in the last 12 months for the libraries it updates.
Minnesota law applies.

1. The agreement and how you accept it

This agreement is between Phill Anton Consulting LLC ("PAC", "we") and the person or business that installs or uses PAC Agent ("you").

By pressing I agree, or by installing or using PAC Agent, you accept this agreement. If you don't accept it, don't install or use PAC Agent.

2. Who may accept, and words used here

Age and business use. You must be at least 18. PAC Agent is a tool for businesses that use Mozaik; it isn't meant for personal or household use, or for children.

Accepting for a business. If you accept for a business, you confirm you're allowed to bind it, and "you" means that business and the people it lets use PAC Agent. The business is responsible for what they do with it.

Words used here:

"PAC Agent": PAC's Windows app, its updates, and its help screens and texts.
"Shop": one business (one legal entity) that uses Mozaik.
"Shop PCs": the Windows PCs your Shop owns or controls that use the Shop's own Mozaik Product Libraries folder (often a shared folder on a network drive, Dropbox, OneDrive or Google Drive: the "Shared Folder"), plus any PC PAC approves for your Shop.
"PAC Products": PAC's libraries, single products, inserts, custom parts, door profile packs, texture packs and catalogs, and their updates.
"PAC's server": the online service at api.pac-agent.com that PAC Agent talks to.
"Mozaik": the cabinet design software made by another company (section 11).

3. Your license

PAC gives you a free, non-exclusive, non-transferable, revocable license to install and use PAC Agent on your Shop PCs, for your Shop's own business, while you follow this agreement.

Anyone may install PAC Agent to read PAC's news, watch videos, browse the store and use PAC Help.
Installing and updating a PAC Product requires that your Shop owns it (bought it, or PAC gave it), and that a Shop PC signed in with the email used for the purchase.
PAC Agent is licensed, not sold. PAC and its licensors keep every right not expressly given here.

4. What you may not do

You may not, and you may not let anyone else:

copy PAC Agent except to install it on your Shop PCs, or sell, rent, lend or sublicense it;
reverse engineer, decompile or take apart PAC Agent, except where the law allows it despite this limit or an open-source license allows it for that part;
get around, disable or interfere with PAC Agent's sign-in, ownership checks, signatures or security, or use it to get PAC Products your Shop doesn't own;
share your Shop's sign-in, a setup code, or the join file PAC Agent writes in your libraries (_pac/org.json) with anyone outside your Shop, or put a PAC library in a folder that another business can open;
use PAC Agent to copy or hand out PAC Products to anyone outside your Shop;
overload, probe or attack PAC's server, or reach it other than through PAC Agent;
use PAC Agent against the law, including the export rules in section 17.

5. What PAC Agent does to your files, and your part

What it does. PAC Agent changes your Mozaik files only in the ways shown in the app under What PAC Agent can see › See every rule. In short, inside a PAC library it may add, update, retire (move to Z PAC Retired) and move PAC products, add or rename folders, add SketchUp models, and keep its notes in the library's _pac folder. For a single product or insert it may create a PAC library or add one entry to a library or insert list you pick. Before an update it saves a backup on that PC, and it offers Undo the same day and Bring back for kept versions.

When it does it. PAC Agent changes a library only after someone at your Shop presses Update, Add to Mozaik, Undo or Bring back on a Shop PC. Another Shop PC may finish writing the files of that same update, and PAC Agent tidies its own _pac notes folder by itself (for example, it moves its own duplicate sync copies there).

Your part. You agree that:

you keep your own backups of your Mozaik folders, separate from PAC Agent's;
you check every new or updated product in Mozaik, at the sizes and options you'll use, before you cut parts from it, as the Product License Terms require;
you use PAC Agent only on folders your Shop owns, with nobody in Mozaik's Library Editor for that library while it writes, and you restart Mozaik afterward to see the change;
if your folder is shared through a cloud sync service, you understand that sync delays and conflicts can affect files, and that PAC doesn't control that service.

A description in this agreement or in the app of what PAC Agent does (for example "never deletes anything") describes how it is designed. It isn't a promise that nothing can ever go wrong; section 13 applies.

6. Automatic updates

PAC Agent updates itself. It checks PAC's server a few minutes after it starts and every few hours, downloads a newer version signed with PAC's keys, and installs it when you press Restart to update, when PAC Agent quits, or on its own while it sits in the tray and isn't working on a library. There is no switch to turn this off; to stop updates, uninstall PAC Agent. By accepting this agreement you agree to these automatic updates.

Updates can change PAC Agent. An update may add, change or remove features. This agreement covers every update unless PAC gives you new terms with it.

Library updates are different. A new release of a PAC library doesn't go into your folder until someone at your Shop presses Update (section 5).

7. Sign-in and your Shop's PCs

One sign-in serves a whole Shop. The first PC signs in by email (a "Yes" link) or a personal setup code; other Shop PCs on the same Shared Folder join by themselves through the join file PAC Agent writes there.
A PC outside your Shared Folder needs PAC's approval. PAC may approve or decline it, and may sign out (revoke) any PC or change your Shop's join token, for example if it believes PAC Products are being used outside your Shop.
Keep your email account and your Shared Folder within your Shop. You are responsible for what is done through your Shop's sign-in.

8. Your data

PAC Agent sends PAC's server the information described in the PAC Agent Privacy Notice, including your sign-in email, each PC's name, the versions of PAC Agent, Mozaik and Windows, which files it downloads and, unless you switch it off in Settings, a problem report when an update fails. It never sends your jobs, drawings, customers' names, prices or folder paths. The Privacy Notice is part of how PAC Agent works; please read it.

9. PAC Help, reports and ideas

Don't send PAC anything confidential, your customers' personal information, or anything you don't have the right to share. Pictures you attach should show only what's needed to explain the problem.
Ideas and feedback. If you send PAC an idea, a wish-list item, a suggestion or feedback, PAC may use it for any purpose, including in products it sells, without paying you or owing you anything. You keep any right you have in your own pictures and words; you give PAC a free, worldwide, permanent license to use them to answer you and to improve its products.
PAC answers when it can. Section 12 applies.

10. PAC Products are licensed separately

The libraries, packs and other PAC Products PAC Agent installs are covered by the Product License Terms, which include the rules on checking products before cutting parts. This agreement doesn't widen those terms. If the two disagree about a PAC Product, the Product License Terms win.

11. Third-party software, services and Mozaik

Open source. PAC Agent includes open-source software, including Electron and Chromium, under their own licenses. Their notices are in PAC Agent's install folder. Where an open-source license gives you rights this agreement doesn't, that license governs that part.
Services. PAC Agent uses outside services (for example Cloudflare for PAC's server, and YouTube and Shopify for pictures). PAC isn't responsible for their outages.
Mozaik. Mozaik is a trademark of its owner. PAC is not affiliated with, endorsed by or sponsored by Mozaik's maker. PAC Agent works with the Mozaik files on your PC; a change in Mozaik can stop PAC Agent or PAC Products from working until PAC adapts, and PAC can't promise it will. You need your own valid Mozaik license.

12. Availability, support, and if PAC stops

PAC's server and PAC Agent may be unavailable at times, and PAC doesn't promise any uptime or response time.
Help through PAC Help and email is free and given as PAC chooses and is able.
PAC may change, suspend or stop PAC Agent or PAC's server at any time. If PAC stops them, the PAC Products already in your folders keep working in Mozaik; only new updates and PAC Help through the app stop.

13. No warranty

In plain words: PAC Agent comes as it is. PAC makes no promises about it beyond what this agreement says.

TO THE FULLEST EXTENT THE LAW ALLOWS, PAC AGENT AND PAC'S SERVER ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. PAC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. PAC DOESN'T WARRANT THAT PAC AGENT WILL BE UNINTERRUPTED OR ERROR-FREE, THAT IT WILL NOT AFFECT OTHER FILES OR SOFTWARE ON YOUR PCS, THAT A BACKUP OR UNDO WILL ALWAYS WORK, OR THAT IT WILL WORK WITH EVERY VERSION OF MOZAIK OR WINDOWS. Some places don't allow some of these exclusions; there, they apply as far as the law allows.

14. Limitation of liability

In plain words: if PAC Agent causes you a loss, PAC's total responsibility is capped, and PAC isn't responsible for indirect losses like lost profits, wasted material or downtime.

TO THE FULLEST EXTENT THE LAW ALLOWS:

(a) PAC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST OR CORRUPTED DATA OR FILES, DOWNTIME, WASTED MATERIAL OR MACHINE TIME, REWORK, OR CLAIMS BY YOUR CUSTOMERS, EVEN IF PAC WAS TOLD THEY WERE POSSIBLE;

(b) PAC'S TOTAL LIABILITY FOR ALL CLAIMS ABOUT PAC AGENT OR PAC'S SERVER, ON ANY LEGAL THEORY, WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID PAC IN THE 12 MONTHS BEFORE THE CLAIM FOR THE PAC PRODUCTS THAT PAC AGENT UPDATES FOR YOU;

(c) these limits apply even if a remedy fails of its essential purpose. They don't limit liability that the law doesn't allow to be limited, such as for fraud or willful misconduct.

15. Indemnity

You will defend, indemnify and hold harmless PAC, its owners, members, employees and contractors from any third-party claim, and the losses and reasonable attorneys' fees that come with it, arising from: (a) your use of PAC Agent or PAC Products, including parts, cabinets or other products you make, sell or install; (b) your breach of this agreement; or (c) your violation of the law or of someone else's rights. PAC will tell you about the claim, let you control the defense with counsel PAC reasonably accepts, and may take part with its own counsel at its own cost. You may not settle a claim that admits fault for PAC or binds PAC without PAC's written consent.

16. Termination

You may stop at any time by uninstalling PAC Agent. Uninstalling leaves PAC Agent's settings and backups on the PC; you can delete them by hand (the Privacy Notice says where).
PAC may end or suspend your license, sign out your PCs or block your Shop if you breach this agreement or the Product License Terms, or if PAC stops offering PAC Agent.
Refunds and chargebacks. If a purchase of a PAC Product is refunded, cancelled or charged back, PAC Agent stops updating that product for your Shop, and the Product License Terms say what happens to the license.
Sections 4, 9, 13, 14, 15, 17, 19 and 20, and anything that by its nature should last, survive termination.

17. Export and sanctions

PAC Agent and PAC Products are subject to US export and sanctions laws. You confirm that you are not located in, under the control of, or a resident of a country or region under comprehensive US embargo, and are not on a US government list of restricted parties. You won't export, re-export or transfer PAC Agent or PAC Products in violation of those laws, or use them for any purpose those laws forbid.

18. Changes to this agreement

PAC may update this agreement. PAC will post the new version with its effective date and show it in PAC Agent. If a change is material, PAC Agent will ask you to accept it before you can keep updating libraries; until you do, the earlier version continues to apply to you. Changes never apply to a dispute that started before the change.

19. Governing law and disputes

Law. The laws of the State of Minnesota, USA, govern this agreement, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

Talk first. Before filing any claim, the party with the complaint will send the other a written notice describing it, and both will try in good faith to settle it for 30 days.

Where disputes go. The state courts of Minnesota and the United States District Court for the District of Minnesota have exclusive jurisdiction, and both parties consent to them. Either party may use small-claims court (conciliation court) instead where the claim qualifies.

No jury, no class actions. Both parties give up any right to a jury trial. Each party brings claims only individually, never as a plaintiff or class member in a class, collective or representative action.

Time limit. To the extent the law allows, any claim must be brought within one year after it arises.

20. General

Whole agreement. This agreement, the Privacy Notice and the Product License Terms are the whole agreement about PAC Agent and replace any earlier understanding about it.
Order of precedence. For PAC Products, the Product License Terms win; for personal data, the Privacy Notice describes what PAC does.
Severability. If a court finds part of this agreement unenforceable, that part is enforced as far as allowed and the rest stays in effect.
No waiver. Not enforcing a right isn't giving it up.
Assignment. You may not transfer this agreement without PAC's written consent. PAC may transfer it with its business or assets.
Notices. PAC may send notices in PAC Agent or to your Shop's sign-in email. You may send notices to the email address in section 21.
Electronic acceptance. Pressing Agree and continue (or I agree) is your electronic signature and has the same effect as signing on paper.
Free, and the limits are why. PAC Agent is free because of the split of risk in this agreement (sections 13 to 15); PAC could not offer it without them.
No one else gets rights under this agreement. It is between PAC and your Shop only; your customers, employees and anyone else get no rights under it.
US government users. PAC Agent is "commercial computer software" licensed only under this agreement.
